This Settlement Agreement (this “Agreement”) is entered into as of this day of October, 2010 (the “Effective Date”), by and between Nymet Holdings, Inc., a Nevada corporation (hereafter, “NYMH” or the “Company”) on the one hand, and, on the other hand, Lorne Kalisky (“Mr. Kalisky”) and Vican Products Distribution Canada, Inc. (Corp No. 396811-1), a corporation organized under the laws of the province of Quebec (“Vican”), collectively, the “Vican Parties.” The Company and the Vican Parties are collectively referred to hereinafter as the “Parties” or individually as a “Party.”
