This Stipulation and Agreement of Settlement (the “Stipulation” or “Settlement Agreement”) is made and entered into by and between Lead Plaintiffs Steamfitters Local 449 Pension Plan (“Local 449”), Wayne County Employees’ Retirement System (“Wayne County ERS”), and David McMurray, on behalf of himself and as sole beneficiary of the David McMurray R/O IRA (collectively, “Plaintiffs”), and Zhengxu He, Trustee for the He & Fang 2005 Revocable Living Trust, on behalf of themselves and all other members of the proposed Settlement Class (defined below), on the one hand, and Defendants Uniti Group Inc. (the “Company” or “Uniti,” and formerly known as “CS&L”), Kenneth A. Gunderman and Mark A. Wallace (together, the “Individual Defendants,” and collectively with Uniti, “Defendants”), on the other, by and through their counsel of record in the above-captioned litigation pending in the United States District Court for the Eastern District of Arkansas (the “Court”). This Stipulation is intended by
