This ASSET PURCHASE AND ASSIGNMENT AGREEMENT ("Agreement") is made and effective as of January 5, 2001, by and between Western New York SMR, LLP (“New York Group" “Seller”), 30 Weed Rd., Essex Junction, VT 05452, and Communication Partners, L.C., a Texas limited liability company (together with its successors and assigns), 5440 NW 33rd Avenue, Ft. Lauderdale, FL 33309 ("Buyer"). Buyer and Seller are also referred to hereinafter each as a "Party" and collectively as the "Parties".
