THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of July 20, 2016 (the “Effective Date”), between HEBREW HOSPITAL SENIOR HOUSING, INC. d/b/a Westchester Meadows, a New York not-for-profit corporation (“Westchester Meadows” or “Seller”) and THE BETHEL METHODIST HOME, INC. (or its designee), a New York not-for-profit corporation (“Bethel” or “Buyer”). Capitalized terms used in this Agreement have the meanings set forth in Article 1 or in the applicable section cross-referenced in Article 1.
