This Master End User License and Purchase Agreement (“Agreement”), is entered into as of the date (the “Effective Date”) on which the purchasing party (“Customer”) named in the applicable CenTrak proposal (“Proposal”) signs such Proposal. This Agreement, which includes the terms of the Proposal, shall be binding on Customer and CenTrak Inc., a Delaware corporation (“CenTrak”) with respect to the order as described in the Proposal, and except to the extent otherwise agreed in a writing executed by both parties, to any subsequent orders of CenTrak Products which may be submitted by Customer during the Term.
