THIS AGREEMENT, made and entered into as of this 7th day of November, 2012 by and among FIRST SYMETRA NATIONAL LIFE INSURANCE COMPANY OF NEW YORK (hereinafter “FIRST SYMETRA” and “Insurance Party,”), a New York life insurance company, on its own behalf and on behalf of its separate accounts listed on Schedule B attached hereto (the “FIRST SYMETRA Accounts”); Sentinel Variable Products Trust, a business trust organized under the laws of Delaware (hereinafter the “Fund”); Sentinel Asset Management, Inc (hereinafter the “Adviser”), a corporation organized under the laws of Vermont; and Sentinel Financial Services, Inc (hereinafter the “Distributor” or “SFSC”) a general partnership organized under the laws of Vermont.
