as of April 12, 2013 (this “Amendment”) and is entered into by and among Cequel Communications, LLC, a Delaware limited liability company (the “Company”), Cequel Communications Holdings II, LLC, a Delaware limited liability company (“Holdco”), the other Credit Parties party hereto, and Credit Suisse AG, Cayman Islands Branch, as administrative agent (in such capacity, the “Administrative Agent”), in its own capacity and acting with the consent of the Consenting Lenders, and as collateral agent (in such capacity, the “Collateral Agent”).
