This Professional Services Agreement (the "Agreement") for legal and consulting services is made and entered into as of this_ day of September, 2019, by and between THE PUERTO RICO PUBLIC PRIVATE PARTNERSHIPS AUTHORITY, a public corporation of the Government of Pue1io Rico, established and authorized to enter into this Agreement by Act No. 29-2009, as amended, and represented herein by its Deputy Executive Director Nelson Perez Mendez, of legal age, attorney, married, and resident of Trujillo Alto, Puerto Rico (the "Authority") and SYDNEY DENSON, LLC, a professional limited liability corporation organized under the laws of the Government of Puerto Rico, represented herein by its authorized representative, Victor J. Quinones Martinez, of legal age, married, attorney, and resident of Caguas, Pue1io Rico (the "Consultant"), and together with the Authority, the "Parties".
