This Agreement is between IBM Canada Limited (“IBM”) and the Governing Council of University of Toronto (“the University of Toronto”) regarding development of a prototype application by the University of Toronto and University of Toronto Users as part of the IBM Watson Academic Initiative. IBM will provide the University of Toronto and University of Toronto Users with an API and web-based access to the IBM Watson Developer Cloud during the Term to develop a prototype application. The prototype application is intended to leverage the cognitive capabilities of the IBM Watson system to demonstrate a unique application or experience (“the Application Prototype”).
