THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is made effective as of the day of October, 2016 (the “Effective Date”) by and between BALD HEAD ASSOCIATION, a North Carolina non-profit corporation, with an address of P.O. Box 3030, Bald Head Island, North Carolina 28461 (“BHA”) and BALD HEAD ISLAND STAGE TWO ASSOCIATION, INC., a North Carolina non-profit corporation, with an address of 1612 Military Cutoff Rd., Suite 108, Wilmington, NC 28403 (“Stage II”) (BHA and Stage II, as each currently exists prior to the Merger, are herein sometimes referred to individually as a “Party” or “Merging Corporation” and may be collectively referred to as the “Parties” or “Merging Corporations”).
