This LAND DEVELOPMENT AND ACCESS AGREEMENT (this “Agreement”) is entered into as of this day of , 2021 (the “Effective Date”), by and between the TOWN OF WINCHESTER, a Massachusetts municipal corporation with a mailing address of Town Hall, 71 Mount Vernon Street, Winchester, Massachusetts 01890, acting by and through its Select Board (the “Town”), and WINCHESTER WATERFIELD MM LLC, a Massachusetts limited liability company with a mailing address of 50 Summer Street, Boston, Massachusetts 02110 (the “Developer”). The Town and the Developer shall hereinafter be referred to individually as a “Party” or collectively as the “Parties.”
