This Master Services Agreement (this “Agreement”), is entered into and made effective as of the later of the two dates accompanying the signatures below (the “Effective Date”) by and between City of Shoreview (“Client”), located at 4600 Victoria Street North, Shoreview, MN 55126 and AudioEye, Inc., a Delaware corporation, located at 5210 E Williams Circle, Suite 750, Tucson, Arizona 85711 (“AudioEye”). Client and AudioEye are sometimes individually referred to in this Agreement as a “Party” and collectively as the “Parties.” Terms not defined in the text shall have the meanings given to those terms in Section 14.
