This Executive Employment Agreement (“Agreement”) is made effective as of August 13, 2008 (“Effective Date”), by and between James Vagim (“Executive”) and United PanAm Financial Corp and its subsidiary United Auto Credit Corporation, both of which may be referred to interchangeably hereinafter as “Company”. All obligations of the Company hereunder shall be joint and several obligations of United PanAm Financial Corp. and United Auto Credit Corporation.
