The undersigned, Wells Fargo Securities, LLC (the “Underwriter”), hereby offers to purchase, pursuant to this Bond Purchase Agreement (the “Bond Purchase Agreement”), from the City of Overland Park, Kansas (the “Issuer”) $[PAR] aggregate principal amount of Sales Tax Special Obligation Revenue Bonds, Series 2022A (Bluhawk STAR Bond Project) (the “Series 2022A Bonds”) to be issued by the Issuer under and pursuant to an ordinance adopted by the governing body of the Issuer on [ ], 2022 (the “Bond Ordinance”) and a Trust Indenture dated as of November 1, 2022 (the “Indenture”), by and between the Issuer and U.S. Bank National Association, as trustee (the “Trustee”). Capitalized words and terms used herein shall have the respective meanings ascribed to them in the Indenture unless some other meaning is plainly indicated.
