dated as of this day of 2011 (“Effective Date”) is entered into by and between Mission West Properties, a California limited liability company (hereafter “Seller”), the Milpitas Redevelopment Agency, a public body, corporate and politic (hereafter “Agency” or “Buyer”), and the City of Milpitas, a municipal corporation (hereafter “City”). Seller and Buyer are hereinafter collectively referred to as the “Parties” or individually as a “Party.”
