THIS MASTER SUBSCRIPTION AGREEMENT (“Agreement”) is entered into by and between Collective Medical Technologies, Inc., a PointClickCare company (“Collective”) and the Department of Social and Health Services, Aging and Long-Term Support Administration (“Subscriber”) (each a “Party” and, collectively, the “Parties”), each on behalf of itself and its Affiliates, and is effective as of June 15, 2024 (the “Effective Date”). In consideration of the mutual promises and covenants contained herein, and for other good and valuable consideration, the receipt, sufficiency, and adequacy of which are hereby acknowledged, the Parties hereby agree as follows:
