This Pro-Ration Agreement (this "Agreement") is made as of this day of November , 2013, by and among the LANCASTER COUNTY SOLID WASTE MANAGEMENT AUTHORITY ("LCSWMA"), a Pennsylvania municipal authority, THE HARRISBURG AUTHORITY ("THA"), a Pennsylvania municipal authority, and COVANTA HARRISBURG, INC., a Delaware corporation ("Covanta").
