CREDIT AGREEMENT, dated as of May 5, 2009 (as amended, supplemented or otherwise modified from time to time, the “Credit Agreement”; capitalized terms used and not defined herein shall have the meanings ascribed to them in the Credit Agreement), among CHRYSLER LLC, a debtor and debtor-in-possession under Chapter 11 of the Bankruptcy Code (the “Borrower”), and the several lenders from time to time parties thereto (the “Lenders”).
