This Escrow Agreement (as the same may be amended or modified from time to time pursuant hereto, this “Agreement”), dated as of October [ ], 2017, among True Religion Apparel, Inc., a Delaware corporation (as a debtor and debtor in possession, prior to the Effective Date (as defined below), or as reorganized pursuant to the Plan (as defined below) on or after the Effective Date, as applicable, the “Company”), Farmstead Capital Management, LLC, ason behalf of itself and certain funds and/or accounts that it manages, advises or sub-advises (the “Class 5 Plan Consideration Cash Out Option Funder (as defined in the Plan”), and Wilmington Savings Fund Society, FSB, as escrow agent (in such capacity, the “Escrow Agent”).
