Runnels Industrial Drive, Hattiesburg, Mississippi 39401 (“Stion”), the CITY OF HATTIESBURG, MISSISSIPPI, a political subdivision of the State of Mississippi acting by and through its Mayor and City Council, (the “City”), and FORREST COUNTY, MISSISSIPPI, a political subdivision of the State of Mississippi acting by and through its Board of Supervisors, with reference to the following facts, which facts are acknowledged by the parties hereto to be accurate and complete in all material terms and respects and which are a substantive part of this Agreement:
