This Software Services Agreement (“Agreement”) is entered into this September 30, 2024, by and between Poudre School District R-1 (the “District”) and NCS Pearson, Inc. a Minnesota corporation, with its corporate offices located at 5601 Green Valley Drive, Bloomington, MN 55437 and its affiliates (the “Contractor” or “Pearson”). The District and the Contractor are collectively referenced herein as the “parties.” In consideration of the mutual covenants and promises contained in this Agreement, the sufficiency of which is hereby acknowledged, the parties agree as follows:
