This Settlement Agreement (“Agreement”) is made and entered into this 20th day of November, 2020 (“Execution Date”) by and between Defendants Aisan Industry Co., Ltd. Franklin Precision Industry, Inc., Hyundam Industrial Co., Ltd., and Aisan Corporation of America (“Aisan”), and Direct Purchaser Plaintiff (as defined in Paragraph 5), both individually and on behalf of a class of direct purchasers of Fuel Injection Systems (“Settlement Class”), as more particularly defined in Paragraph 10.
