THIS SETTLEMENT AGREEMENT (“Agreement”) is made and entered into as of the 13th day of May 2019 (“Execution Date”) by and between on the one hand plaintiffs City of Homestead, Florida, and City of Creston Water Works Department (collectively, “Indirect Purchaser Class Plaintiffs”), individually and on behalf of the putative Indirect Purchaser Settlement Class; and on the other hand Defendant USALCO, LLC (“USALCO”). The Indirect Purchaser Class Plaintiffs, on behalf of the Indirect Purchaser Settlement Class1, and USALCO are referred to collectively as the “Settling Parties” and individually as a “Settling Party.” This Agreement does not release any claims of the Indirect Purchaser Class Plaintiffs and the other members of the Indirect Purchaser Settlement Class against any Non-Settling Defendant.
