This First Amendment to Asset Purchase Agreement (this “First Amendment”) is entered into as of the 13th day of May 2019 (the “Effective Date”) by and between the City of Rochelle, Illinois, acting through and on behalf of its Rochelle Municipal Utilities Department (“Seller”), and NextEra Energy Transmission MidAtlantic, Inc., an Illinois corporation (formerly, NextEra Energy Transmission MidAtlantic, LLC, a Delaware limited liability company) ("Purchaser”). Seller and Purchaser are hereinafter referred to individually as a "Party" and collectively as the "Parties." Capitalized terms used, but not defined, herein are used herein as defined in the Asset Purchase Agreement dated as of April 16, 2018 (the “Agreement”), by and between the Parties.
