Based on the terms and conditions set out below, Red Cloud Securities Inc. (“Red Cloud”) as co-lead underwriter and sole bookrunner on behalf of a syndicate of underwriters, together with Canaccord Genuity Corp (together with Red Cloud, the “Co-Lead Underwriters”), Haywood Securities Inc. and PI Financial Corp. (collectively, the “Underwriters”) hereby severally, and not jointly, nor jointly and severally agree to purchase, in the respective percentages set out in Section 7 below, from Labrador Uranium Inc.
