THESE STANDARD PURCHASE ORDER TERMS AND CONDITIONS are attached to and are part of a purchase order (the “Purchase Order”) issued by SVANTE TECHNOLOGIES INC. (“Buyer”) to the seller identified in the Purchase Order (“Seller”). Buyer and Seller are referred to herein as the “Parties” and each a “Party”. The Purchase Order may, if so referenced therein, include product, manufacturing, and/or quality assurance specifications (collectively, the “Specifications”) and additional plans, drawings, and other documents. As used herein: (a) “Agreement” means, collectively, the Purchase Order (including any such referenced Specifications, plans, drawings, or other documents) and these Terms and Conditions; (b) “Goods” mean, collectively, all equipment, products, goods, and other materials to be provided by Seller to Buyer under the Purchase Order; (c) “Work” means, collectively, all work, services, tasks, activities and labour to be provided by Seller to Buyer under the Purchase Order; (d) “Servic
