This Non-Disclosure Agreement (the “Agreement”) will confirm the mutual understandings of Receiving Party its representatives, employees, agents, brokers and any related parties and/or affiliates (collectively, “Receiving Party”) and Disclosing Party in connection with Receiving Party’s review of certain confidential information (the “Offering Materials”) as it relates to the Property (defined herein), including, but not limited to, offering memorandum, documents, data, financial statements, reports, forecasts, projections, surveys, diagrams, records, engineering reports, and such other documents which concern the Property (the “Opportunity”). Notwithstanding anything to the contrary contained in this Agreement, Offering Materials shall not include, and the obligations hereunder shall not apply to any information or materials that (i) are requested or required (by oral questions, interrogatories, requests for information or documents in legal proceedings, subpoena, civil investigative
