This Amendment No. 2 (this “Amendment”) is made this 9th day of August, 2002 (the “Effective Date”) by and between VoiceStream Wireless Corporation, (“VoiceStream”), a Delaware corporation, and Verizon North Inc., f/k/a GTE North Incorporated, Verizon South Inc., f/k/a GTE Sout h Incorporated, a Wisconsin corporation (“Verizon”) (each of Verizon and VoiceStream being individually, a “Party” and, collectively, the “Parties”).
