Exercise of Rights. The First Offer Right of an Offeree under Clause 3(a) shall be exercisable by delivering written notice of exercise (an "Offer Notice") within the Offer Period to the Transferring Shareholder. The Offer Notice shall contain a binding offer to purchase the Offered Securities and the price ("Offer Price") at which it is desirous of purchasing all (but not less than all) of the Offered Securities and terms and conditions, if any. An Offer Notice shall be irrevocable and shall constitute a binding agreement between the Offeree and the Transferring Shareholder (if the Transferring Shareholder issues an Acceptance Notice in terms of Clause 3(e» to purchase the Offered Securities.
