In consideration of the sale to the undersigned buyer ("Buyer") of damaged, out-of-date or otherwise defective food or non-food related products ("Products") at prices reflecting salvage value by Sysco Corporation or any of its subsidiaries or divisions ("Sysco"), Buyer hereby agrees to indemnify and hold harmless Sysco and its affiliated subsidiaries and divisions, and their respective directors, officers, and employers, from and against, and to waive, release and forever discharge Sysco, its officers and employees from, any and all liability arising out of all actions, claims and proceedings and any judgements, damages, fines, costs and expenses (including reasonable attorneys' fees) resulting there from for the recovery of damages for injury, illness and / or death or damage to property arising out of or alleged to have arisen out of (i) the failure of any of the Products to meet the normal specifications for such Products or (ii) the acts or omissions of Buyer, its officers and emp
