This Amendment No. 1 (this “Amendment”) is effective June 14, 2001 (“Amendment Effective Date”), by and between Verizon South Inc. f/k/a GTE South Incorporated, a Virginia corporation (“Verizon”), and Tritel Communications, Inc., a Delaware corporation (“Tritel”). (Verizon and Tritel may hereinafter be referred to, each individually, as a "Party," and, collectively, as the "Parties").
