This Option Exercise and Transaction Support Agreement (this “Agreement”) is made and entered into as of November 4, 2007, by and among URS Corporation, a Delaware corporation (“Parent”), Washington Group International, Inc., a Delaware corporation (the “Company”), and the undersigned holder of options to purchase shares of common stock of the Company (the “Holder”).
