This Assignment and Cooperation Agreement (“Agreement”) is entered into this day of May, 2016 by and between Lynn E. Feldman, Trustee for the Bankruptcy Estates of Ira J. Pressman and PJI Distribution Corporation (the “Trustee”), on the one hand, and Raggi Lisowski LLP CPAs & Consultants (“RL”), formerly Raggi & Weinstein LLP CPAs & Consultants, Robert Raggi (“Raggi”) and Thomas Lisowski (“Lisowski”), on the other hand (collectively, the “RL Defendants”) (the Trustee and RL Defendants, collectively, the “Parties” and each a “Party”). This Agreement is subject to approval by the United States District Court for the Eastern District of Pennsylvania, as set forth below in Section 1.
