On the basis of the representations, and covenants and upon the terms and conditions contained in this Bond Purchase Agreement, NP Turner Industrial 2, LLC, a Delaware limited liability company (the “Purchaser”) offers to purchase from the Unified Government of Wyandotte County/Kansas City, Kansas (the “Issuer”), the above-referenced bonds, dated as provided in the Indenture (hereinafter defined), in the maximum aggregate principal amount of $29,000,000 (the “Bonds”), to be issued by the Issuer, under and pursuant to Ordinance No. O-[ ]-21 passed by the governing body of the Issuer on November 18, 2021 (the “Ordinance”) and a Trust Indenture dated as of December 1, 2021 (the “Indenture”), by and between the Issuer and BOKF, N.A., as Trustee (the “Trustee”). Any capitalized terms used herein and not otherwise defined herein shall have the respective meanings as set forth in Section 101 of the Indenture which definitions are hereby incorporated herein by reference.
