The purpose of this letter is to confirm the understanding and agreement (the “Agreement”) between 24 Hour Fitness Worldwide, Inc. (collectively, with its direct and indirect subsidiaries and affiliates, (the “Client” or the “Company”) and FTI Consulting, Inc. (“FTI”) concerning the Client’s engagement of FTI to provide certain temporary employees to the Client for advisory and interim management services (the “Services”) in connection with the Client’s financial restructuring and the possible filing and prosecution of chapter 11 bankruptcy cases. This Agreement is effective as of June 11, 2020 (the “Effective Date”) and supersedes and replaces in its entirety that certain letter agreement dated as of March 17, 2020 by and among FTI and Weil, Gotshal & Manges LLP (the “Firm”). The FTI Standard Terms and Conditions attached hereto as Exhibit “A” are also incorporated herein and forms part of this Agreement.
