(“Village”) entered into an Agreement and Plan of Reorganization (the “merger agreement”) with TowneBank, Cardinal Sub, Inc., and Village Bank pursuant to which TowneBank will acquire Village and Village Bank (the “merger”). Village shareholders are being asked to approve the merger agreement and other related matters at a special meeting of shareholders to be held virtually at 10:00 a.m., Eastern Time, on December 19, 2024. The meeting will be conducted exclusively via live webcast and there will be no physical location for the meeting.
