On May 28, 2019 Squire Mining Ltd. ("Squire") entered into an agreement with Calvin Ayre and certain of his affiliates to acquire a number of companies controlled by him, including Cunning Hams Limited ("Cunning Hams") and Tansley Equipment Limited ("Tansley") and with respect to their ownership of certain cloud computing assets, subject to certain conditions including shareholder and stock exchange approval, to be effective on or about July 31, 2019. Cunning Hams owns and operates certain cloud computing equipment as set out in Schedule A (the "Relocated Assets" and each individual device termed a "unit").
