THIS AGREEMENT AND PLAN OF MERGER (this “Agreement”) is effective as of October [ ], 2020 (the “Agreement Date”), by and among Jewish Federation of Silicon Valley, a California non-profit public benefit corporation (“Parent” or “JFSV”), Jewish Federation of Silicon Valley, LLC, a California non-profit limited liability company and a wholly-owned subsidiary of Parent (“Merger Sub”), and Addison-Penzak Jewish Community Center of Silicon Valley, a California non-profit public benefit corporation (“Company” or “APJCC”). Parent, Merger Sub and the Company are each referred to as a “Party” and collectively as the “Parties.”
