This Amendment No. 1 (this “Amendment”) is made this 8th day of March, 2002 (the “Effective Date”) by and between Verizon North Inc., f/k/a GTE North Incorporated and Verizon South Inc., f/k/a GTE South Incorporated (collectively “Verizon”), a Wisconsin corporation, and Cellco Partnership d/b/a Verizon Wireless, a Delaware general partnership, successor in interest to Ameritech Mobile Communications, Inc., on behalf of Illinois SMSA Ltd. Partnership, Chicago SMSA Limited Partnership and Cybertel Cellular Telephone Company (“Verizon Wireless”) (each of Verizon and Verizon Wireless being individually a “Party” and, collectively, the “Parties”).
