THIS REGULATORY AGREEMENT (as supplemented and amended from time to time, this “Agreement” or this “Regulatory Agreement”) is made and entered into as of , 2019, by and among the CITY OF WEST LAFAYETTE, INDIANA, a municipal corporation of the State of Indiana (the “State”) created and existing under and by virtue of the laws of the State (together with any successor to its rights, duties and obligations, the “Governmental Lender”), FIRST MERCHANTS BANK, an Indiana state-chartered bank, duly organized and existing under the laws of the State of Indiana (the “Original Purchaser”) and FRIENDSHIP HOUSE, LLC, an Indiana limited liability company (together with any successor to its rights, duties and obligations hereunder and as owner of the Project identified herein, the “Borrower”).
