This Amended, Extended and Restated Agreement (“Agreement”) shall be deemed effective as of April 1, 2012 (the “Effective Date”), between MCImetro Access Transmission Services LLC (“MCIm”), a limited liability company organized under the laws of the State of Delaware, with offices at One Verizon Way, Basking Ridge, NJ 07920 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and MCIm may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
