This Base Agreement (this “Agreement”) is made and entered into as of the date set forth in Section 1(i) below, by and between or among VictoryBase Corporation, a Delaware corporation (the “Company”), and the person identified in Section 1(a) below (“Primary Resident”), the person(s) identified in Section 1(b) below (each a “Co-Resident,” and together with the Primary Resident, collectively, whether one or more, “Resident”). Resident’s obligations hereunder shall be guaranteed by the person(s) identified in Section 1(d) below (each a “Guarantor”), each of whom shall execute and deliver a guaranty in substantially the form attached hereto as Exhibit G (“Guaranty”).
