entered into by and between the CITY OF SAN JOSE, a municipal corporation (hereinafter “CITY”) and JUNIPER FUND-III, LLC, a limited liability company (hereinafter “BUYER”) and shall be made effective on the date it has been fully executed by all the Parties (hereinafter “EFFECTIVE DATE”). BUYER and CITY are sometimes individually referred to herein as a “Party” and collectively referred to herein as the “Parties”.
