LuxUrban Hotels Inc., a Delaware corporation (the “Company”‘), proposes, subject to the terms and conditions stated herein, to issue and sell to the underwriters named in Schedule I hereto (the “Underwriters.” or each, an “Underwriter”), for whom Alexander Capital, L.P., is acting as the representative (the “Representative”). 30,000,000 authorized but unissued shares (the “Firm Shares”) of common stock of the Company, par value $0.00001 per share (the “Common Stock”) and 0 Pre-Funded Warrants, each to purchase one share of Common Stock at an exercise price of $0.01 per share (“Firm Pre-Funded Warrants”).
