This Agreement (“Agreement”) shall be deemed effective as of October 1, 2001 (the “Effective Date”), between Ciera Network Systems, Inc. (“Ciera”), a corporation organized under the laws of the State of Texas, with offices at 1250 Wood Branch Park Drive, Houston, Texas 77079 and Verizon South, Inc., f/k/a GTE South Incorporated (“Verizon”), a corporation organized under the laws of the Commonwealth of Virginia with offices at 4100 Roxboro Rd., Durham, NC 27704- 2166 (Verizon and Ciera may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
