This Reseller Agreement ("Agreement") is by and between You (the "Reseller") and Apptix Inc. ("Apptix"). This Agreement explains the basis upon which Reseller will offer for resale Apptix products and services (the "Services") to itself and customers of Reseller (each, an "End User") who purchase one or more subscriptions to the Services (each, a "Subscription"). The Effective Date of this Agreement is the date that Reseller completes the Apptix reseller registration process. By entering into this Agreement, in addition to transactions entered into by Reseller on its own behalf, Reseller also agrees to be bound by the terms of this Agreement for transactions entered into by anyone who uses the account the Reseller hereby establishes with Apptix (the "Reseller Account"), whether or not the transactions were on Reseller's behalf.
