WHEREAS, Borrower has applied to Lender for a non-revolving construction loan (the "Construction Loan") for the development and construction of a 102-unit elderly apartment complex known as Lyons Ridge Apartments (the "Project") on certain real property located in Memphis, Shelby County, Tennessee (such real property, including the improvements thereon, herein called the "Property") described on Exhibit A of this Agreement;
