WHEREAS Heritage, through Heritage Subco, wishes to acquire all of the outstanding securities of the Company by way of a three-cornered amalgamation under the Business Corporations Act (Alberta) upon the terms and conditions set forth herein, such that, upon completion of the Amalgamation (as defined herein), the amalgamated corporation will be a wholly-owned subsidiary of Heritage.
