This Amendment No. 1 (this “Amendment”), dated as of September 24, 2021, amends that certain Mortgage Loan Participation Purchase and Sale Agreement, dated as of August 25, 2020 (as amended, restated, supplemented, or otherwise modified from time to time, the “MLPPSA”), by and between Barclays Bank PLC, as administrative agent and purchaser (“Purchaser”), and loanDepot.com, LLC, as seller (“Seller”), in connection with that certain Master Repurchase Agreement, dated as of August 25, 2020 (as amended by that certain Amendment No. 1 to Master Repurchase Agreement, dated as of September 24, 2021, as further amended, restated, supplemented, or otherwise modified from time to time, the “Repurchase Agreement”), by and among Purchaser and Seller.
