WHEREAS pursuant to a terms agreement (the "Terms Agreement"), dated November 1, 2005, between the Issuer and Royal Bank of Canada Europe Limited, The Toronto-Dominion Bank and Deutsche Bank AG, London Branch, as the several Underwriters named therein, which incorporates by reference all of the provisions of the Québec Underwriting Agreement Standard Provisions (Debt Securities), dated November 1, 2005, the Issuer has agreed to create, issue and sell NZ$300,000,000 aggregate principal amount of 6.75% Global Notes Series QC due November 9, 2015 (herein collectively called the "Notes" or, individually, a "Note");
